案件背景

诉状称，大约从 2021 年 12 月到 2022 年 4 月，Xie 是一家大型跨国公司的

量化交易员，参与了一项欺诈计划从其雇主处盗用了重大、非公开信息，违背了

对其雇主的义务。Xie 滥用该信息，以欺骗的方式开展育肥牛期货和期权交易，

以谋取个人利益。

Xie 通过其在公司的职位获取其雇主在大量农产品（包括育肥牛）上的期权

和期货头寸以及相关交易指令，其中有多次是其亲自下达的指令。Xie 违背了对

其雇主的义务，也违反了不利用雇主的商业秘密谋取个人利益的协议，Xie 利用

重大、非公开信息，通过其个人交易账户成为其雇主的交易对手方，进行育肥牛

期货和期权交易。Xie 至少进行了 71 笔这样的交易，为其带来了大约 178,075 美

元的利润。此外，Xie 在下达雇主的交易指令后的几秒钟内，以自己的名义进行

了多笔交易，构成了虚假和非竞争性交易。

CFTC Charges Chinese National with Fraudulent Scheme to Trade Against

Employer (2023/3/28)

The Commodity Futures Trading Commission today announced it filed a
complaint in the U.S. District Court for the Northern District of Illinois

charging Dichao Xie, a Chinese national, with a fraudulent scheme in which he misused

knowledge of his employer’s trading in feeder cattle futures and options to trade for his

own benefit in breach of a duty to his employer. Xie’s trades also constituted illegal

fictitious and noncompetitive trades under the Commodity Exchange Act (CEA) and

CFTC regulations, according to the complaint.

The complaint seeks, among other relief, civil monetary penalties, disgorgement

of any ill-gotten gains, restitution, permanent trading and registration bans, and a
