1. 中国人民银行 国家外汇管理局关于境外机构境内发行债券资金管理有关事

宜的通知（2022 年 12 月 2 日）

为进一步扩大金融市场双向开放，近日，中国人民银行、国家外汇管理局联

合发布《中国人民银行 国家外汇管理局关于境外机构境内发行债券资金管理有

关事宜的通知》（以下简称《通知》），完善境外机构境内发行债券（以下简称

熊猫债）资金管理要求，进一步便利境外机构在境内债券市场融资。

《通知》主要内容包括：一是统一银行间和交易所市场熊猫债资金登记、账

户开立、资金汇兑及使用、统计监测等管理规则。二是规范登记及账户开立流程，

熊猫债发行前在银行办理登记，允许分期发行中首期登记开户、后续发行后逐次

报送发行信息，并可共用一个发债专户。三是完善熊猫债外汇风险管理，境外机

构可与境内金融机构开展外汇衍生品交易管理汇率风险。四是明确发债募集资金

可留存境内，也可汇往境外使用。

《通知》自 2023 年 1 月 1 日起施行。

Notice of the People's Bank of China and State Administration of Foreign

Exchange on Matters Concerning the Proceeds Management for

Yuan-Denominated Bonds Issuance by Overseas Issuers in China (2022/12/2)

To further expand the two-way opening-up of the financial market, the People's

Bank of China and State Administration of Foreign Exchange (SAFE) recently jointly

issued the Notice of the People's Bank of China and State Administration of Foreign

Exchange on Matters Concerning the Proceeds Management for Yuan-Denominated
Bonds Issuance by Overseas Issuers in China (“the Notice”) to improve the

requirements for the management of funds from yuan-denominated bonds issuance of
bonds by overseas institutions (the “Panda Bonds”) and further facilitate the financing

of overseas institutions in the China's bond market.
